Software License Agreement

Preamble

This Agreement is entered into between Power Office G.K. (hereinafter referred to as “the Company”) and the purchaser (hereinafter referred to as “the Customer”) regarding the purchase and use of a license key for the software product “Power Viewer” (hereinafter referred to as “the Software”) provided by the Company.

The installation and launching of the Software itself is permitted under the “Terms of Use.” However, to use the functions of the Software with a license key, the Customer must comply with the provisions of this Agreement.

This Agreement shall take effect when the Customer purchases a license key and agrees to this Agreement on the purchase screen.

Article 1 (Formation of Agreement)

This Agreement shall be deemed concluded when the Customer proceeds with the purchase after agreeing to this Agreement and purchases a license key through the Company or its authorized reseller (such as FastSpring).

Article 2 (Related Terms)

The installation and launching of the Software shall be subject to the separately defined “Terms of Use.” This Agreement applies to the use of the Software by means of a license key.
Some plans include support in accordance with the separately defined “Power Viewer Support Policy.”

Article 3 (License Grant)

The Company grants the Customer a non-exclusive, non-transferable right to use the Software within the scope defined in this Agreement.

Article 4 (License Conditions)

  1. The Customer shall declare to the Company the domain of the email address to be used (hereinafter referred to as the “Registered Domain”) at the time of license key purchase. The license key shall be tied to the Registered Domain and may only be used when logging in with a user ID belonging to an email address under the Registered Domain.
  2. The Registered Domain must be a proprietary domain owned by the Customer. Public email service domains such as gmail.com and yahoo.com cannot be registered.
  3. The Customer’s usage conditions shall be based on the purchased plan as follows:
    • Basic Plan
      • Number of Registered Domains: 1
      • Maximum Users: 4 (user IDs must be registered at the time of purchase; additions or replacements are not allowed)
      • Maximum Devices: 4 (device IDs must be registered at the time of purchase; additions or replacements are not allowed)
      • Support: Provided in accordance with the Support Policy
    • Professional Plan
      • Maximum Registered Domains: 99
      • Maximum Users: 99,999
      • Maximum Devices: Unlimited
      • Support: Provided in accordance with the Support Policy
    • Enterprise Plan
      • Maximum Registered Domains: 99
      • Maximum Users: 99,999
      • Maximum Devices: Unlimited
      • Support: Provided in accordance with the Support Policy
  4. The Software may not be used beyond the usage conditions specified above.

Article 5 (Prohibited Acts)

The Customer shall not engage in the following acts:

  1. Using the Software beyond the limits defined by the contracted plan
  2. Transferring or lending the license key to a third party

Article 6 (Validity Period)

  1. The validity period of the license key shall be one year from the date of issuance.
  2. To continue using the Software after the contract period expires, the Customer must purchase a new license key.

Article 7 (Breach of Agreement)

If the Customer breaches this Agreement, the Company may immediately invalidate the license and terminate the Agreement.

Article 8 (Disclaimer)

The Company shall not be liable for any damages arising from the use of the Software.

Article 9 (Refund)

Article 10 (Governing Law and Jurisdiction)

This Agreement shall be governed by the laws of Japan, and the Tokyo District Court shall have exclusive jurisdiction by agreement.
